What is ROC annual filing?

Every registered company and LLP must file annual documents with the Registrar of Companies (ROC), even if it had no business activity. Companies file financial statements (Form AOC-4, Section 137) and an annual return (Form MGT-7, or MGT-7A for small companies and OPCs, Section 92). LLPs file Form 8 (statement of account and solvency) and Form 11 (annual return) under the LLP Act, 2008.

The filings follow your financial year and, for companies, your AGM. A small company, at present, is one with paid-up capital up to ₹4 crore and turnover up to ₹40 crore. These limits and the forms can change, so we confirm them for your company each year.

Missing these filings leads to a late fee for each day of delay, and prolonged non-filing can lead to director disqualification and the company being struck off. Because the dates follow your AGM, we plan the sequence with you from the start of the year.

Is this right for you?

Requirements

What you need

We confirm the exact list for your situation during your free consultation.

Company filings
AOC-4 for financial statements and MGT-7 or MGT-7A for the annual return, along with the AGM and board processes.
Typical dates
For a 31 March year-end, the AGM is generally due by 30 September (Section 96), AOC-4 within 30 days of the AGM (Section 137) and MGT-7 within 60 days (Section 92). A new company’s first AGM is due within nine months of the end of its first financial year.
LLP filings
Form 11 generally by 30 May and Form 8 generally by 30 October for a 31 March year-end.
Records we need
Audited financial statements, shareholder and director details, and DSCs.
Late fee
An additional fee of ₹100 per day applies per form for delayed AOC-4 and MGT-7 filings, counted from the due date, with no upper cap under the current MCA fee rules. LLP forms 8 and 11 also carry a per-day fee. We confirm the current amount for your case.
Other filings
Depending on your facts, other recurring filings may apply, such as Form DPT-3 for deposits and loans, Form MSME-1 for dues to small suppliers, and director KYC. Use our annual compliance calendar to see them in order.
Why it matters

What happens if ROC filings are missed

  • Additional fee. A per-day additional fee builds up on each late form (Section 403 and the MCA fee rules), and it is not capped for AOC-4 and MGT-7.
  • Penalties. The Companies Act also provides separate penalties for the company and for officers in default.
  • Director disqualification. Directors of a company that has not filed financial statements or annual returns for three consecutive financial years can be disqualified under Section 164(2), and their DINs deactivated.
  • Strike-off. Prolonged non-filing can lead the Registrar to begin proceedings to strike the company off the register.

If earlier years were missed, we review the company’s filing history on the MCA portal, check whether any notice or disqualification already applies, and plan the catch-up filings in order. Time-limited relief schemes for late filers have been announced by the MCA from time to time; we check whether one is open before quoting.

Chennai & Tamil Nadu

ROC filing for companies registered in Chennai and Tamil Nadu

Annual filing is done online on the MCA portal, so the process is the same wherever you are. Your company’s records are held by the Registrar of Companies with jurisdiction over its registered office. For Tamil Nadu the MCA lists ROC offices at Chennai and Coimbatore, and Puducherry has its own office. If the Registrar sends a notice or query, we respond on your behalf.

If you are still setting up, start with Private Limited Company registration, LLP registration or OPC registration. State-level compliance such as Shops and Establishments and professional tax is covered in our state-wise guides.

Timeline & cost

How long it takes and what it costs

ROC filings follow a yearly cycle linked to your AGM, so we plan the dates early to avoid late fees.

Your total cost has two parts: our professional fee, and any government or statutory fees that apply. Government fees are set by the authority and vary by case, so we give you an itemised quote before you commit to anything. MCA annual filing is included in our Guardian package. See our pricing page for packages, or our Partner Plans if you want accounting, GST and ROC dates managed together through the year.

Yes. Even companies with no business activity must file annual financial statements and returns, unless they have formally opted for dormant status.
AOC-4 is the form for filing a company’s financial statements (balance sheet, profit and loss account and related documents). MGT-7 is the annual return, which records details such as shareholders, directors and meetings. Small companies and OPCs file the shorter MGT-7A instead of MGT-7.
Form 11 is the LLP’s annual return and Form 8 is its statement of account and solvency. For a 31 March year-end they are generally due by 30 May and 30 October. An LLP files them every year, even if it had no activity.
A company must hold its first AGM within nine months of the end of its first financial year (Section 96). After that, an AGM is due within six months of each year-end. Some companies, such as OPCs, are not required to hold one. We confirm what applies to yours.
File the pending years in order, with the additional fees that apply. Before that, we review the filing history on the MCA portal and check for any notice, strike-off proceeding or director disqualification. Relief schemes for late filers have been announced from time to time, so we check whether one is open.

Where these rules come from

Annual filing rules sit in the Companies Act, 2013, the LLP Act, 2008 and the rules and circulars the Ministry of Corporate Affairs (MCA) issues. Due dates, forms and fees can change, so check the current text at the source.

Last checked against these sources on 23 October 2026. This page is general information, not legal advice. Late fees, due dates and any relief schemes change, so we confirm the current position before we file.
