Private Limited Company Registration Cost Calculator

Estimate your company incorporation costs, including the MCA fee, stamp duty and professional charges, before you get started.

What goes into the cost of registering a Private Limited Company

Registering a Private Limited Company in India is filed online with the Ministry of Corporate Affairs (MCA) through the SPICe+ form. The total you pay is made up of a few separate parts, and not all of them depend on the company you choose to form. Our Private Limited Company registration service handles the filing end to end.

Which charge is which

Incorporation costs come from different bodies and depend on different things. This table shows who sets each one, what it depends on, and whether the calculator adds it to the total.

Government charges

The MCA charges a registration fee based on authorised share capital. There is no MCA registration fee for a company with authorised capital up to ₹15 lakh. Above that, the fee depends on the capital slab and on whether the company qualifies as a small company, so it should be confirmed before you file. Separately, each state charges stamp duty on the Memorandum and Articles of Association. Director Identification Numbers (DIN) for up to three directors are allotted through the SPICe+ filing without a separate DIN fee.

Digital Signature Certificates

Directors sign the incorporation forms electronically, which needs a Digital Signature Certificate (DSC). DSC prices are set by the certifying authority, so they are confirmed in your quote rather than assumed here.

Professional fees and taxes

The professional fee pays for preparing and filing your documents and the services in your package. Our packages and prices are on the pricing page. GST applies to professional services, and we show it in your quote once confirmed for your package.

Authorised capital is not paid-up capital

Authorised capital is the ceiling on the shares your company may issue. Paid-up capital is what shareholders actually pay in. Stamp duty and the MCA fee are linked to authorised capital, so that is the figure the calculator asks for, and the estimate changes as you change it. You can start with a modest authorised capital and increase it later, though an increase brings its own filing (Form SH-7), MCA fee and stamp duty, which this calculator does not estimate.

Please note

This calculator gives an estimate, not a quotation or a guarantee. It adds only amounts we have verified, and clearly marks anything that still needs confirmation.

Company registration cost in Tamil Nadu

If your registered office will be in Tamil Nadu, stamp duty on incorporation documents follows the Indian Stamp (Tamil Nadu Amendment) Act, 2023:

  • Memorandum of Association: ₹200, a flat amount.
  • Articles of Association: ₹500 for every ₹10 lakh of authorised capital, or part of it, up to a maximum of ₹5,00,000.

For example, a company with ₹1 lakh of authorised capital pays ₹200 plus ₹500, which is ₹700. With ₹15 lakh of authorised capital it pays ₹200 plus ₹1,000, which is ₹1,200. There is no MCA registration fee at either capital level. Choose Tamil Nadu in the calculator above to see the full estimate with your own numbers. If you are based in Chennai, Coimbatore, Madurai or elsewhere in the state, the same state rules apply.

How this estimate is built

The calculator uses a single fee data file that is kept separate from the page. Each item is either verified and added to the total, or marked Requires verification and left out. Nothing is guessed. Fee data was last verified on 10 October 2026.

Stamp duty for other states, Digital Signature Certificate charges, PAN and TAN, GST on the professional fee and MCA fees above ₹15 lakh are shown as requiring verification until confirmed. Related services: GST registration, accounting and bookkeeping and trademark registration. Not sure a company is the right structure? Try the Business Structure Finder, or see all ZegalWorks tools.

FAQ

Company registration cost questions

Straight answers to what founders ask about fees.

The cost has three parts: government charges (the MCA registration fee and state stamp duty), a Digital Signature Certificate for directors, and the professional fee of whoever files for you. ZegalWorks packages start at ₹10,999 as shown on our pricing page. Government charges depend on your state and authorised capital, so use the calculator for an itemised estimate.
The MCA charges no registration fee when authorised share capital is up to ₹15 lakh. Above that, the fee depends on the capital slab and on whether the company qualifies as a small company. State stamp duty applies on the Memorandum and Articles. DIN for up to three directors is allotted through the SPICe+ filing without a separate DIN fee. Final amounts are shown on the MCA21 challan at filing.
Stamp duty is a state tax on the Memorandum and Articles of Association. Each state sets its own rates under its Stamp Act, so the same company can pay different amounts depending on where its registered office is. The calculator shows a stamp duty amount only for states whose current rule we have verified, and marks the rest as requiring verification.
Under the Indian Stamp (Tamil Nadu Amendment) Act, 2023, the Memorandum of Association carries a flat stamp duty of ₹200. The Articles of Association carry ₹500 for every ₹10 lakh of authorised capital or part of it, subject to a maximum of ₹5,00,000. For ₹1 lakh of authorised capital that comes to ₹700 in total, and for ₹15 lakh it comes to ₹1,200.
Authorised capital is the maximum share capital a company is allowed to issue, as stated in its Memorandum. Paid-up capital is the amount shareholders have actually paid in. Stamp duty and the MCA fee are linked to authorised capital, so this calculator asks for authorised capital only. Paid-up capital can matter for some fee classes above ₹15 lakh, which we confirm in your quote.
The professional fee covers our work on your filing and the services listed in your package. Starter includes company incorporation, PAN and TAN, GST registration, MSME (Udyam) registration and a dedicated legal advisor. Guardian adds 12 months of GST filing, TDS compliance, MCA annual filing and quarterly reviews. Armour adds trademark registration, a founders and shareholders agreement and an investor-ready compliance checklist. Government charges are separate.
GST registration and MSME (Udyam) registration are part of every package. Trademark registration and the founders and shareholders agreement are part of Armour. Accounting and bookkeeping are not part of the incorporation packages. They are available separately and through our Partner Plans. Optional services that are not priced here show as quoted separately and are not added to the total.
It is an estimate, not a quotation. It adds only the amounts we have verified. Items shown as Requires verification, such as DSC charges, PAN and TAN, GST on the professional fee, and stamp duty in states we have not yet verified, are left out of the total and confirmed in your quote. The page shows the date the fee data was last verified.
This calculator estimates the MCA incorporation fee wherever the amount is verified: there is no MCA fee for authorised capital up to ₹15 lakh. Above that, the fee depends on the capital slab and on whether the company is a small company, so we do not add a figure. Check the current MCA fee schedule, or the challan at filing, for the exact amount.
Authorised capital is the figure the MCA fee and stamp duty are linked to. A higher authorised capital can mean higher stamp duty (in Tamil Nadu, the Articles of Association duty rises with each ₹10 lakh block) and, above ₹15 lakh, an MCA fee. Changing the amount in the calculator updates the estimate. It does not change how much capital you must pay in.
No. It is an estimate that adds only amounts we have verified and leaves out the rest, marked Requires verification. The amount you actually pay is shown on the MCA21 challan, the state stamp duty receipt and your invoice.
